Confidential Information Memorandum (CIM)

The full written presentation of a business for sale, shared with buyers only after they sign a confidentiality agreement.

In more detail

The CIM is the book: what the business does, how it makes money, who its customers are, how operations run, its financial history, and the growth case for a new owner. Unlike the teaser it names the company and includes the detail a buyer needs to form a real view. It goes out only post-NDA, and its distribution is tracked.

If you are selling

A clear, honest CIM answers a buyer's questions before they become objections, which shortens the process.

If you are buying

It is your primary source for forming a view and preparing an indication of interest.
