Data room

A secure repository where a seller shares deal documents with buyers who have signed a confidentiality agreement.

In more detail

The data room holds the financials, contracts, leases, employment records and everything else diligence requires. Access is controlled per buyer and post-NDA, and activity is tracked. A well-organized data room, populated before buyers arrive, is one of the clearest signals a seller is prepared.

If you are selling

Assembling it early turns diligence from a scramble into a process, and buyers read that as low risk.

If you are buying

How quickly and completely requests are answered tells you a great deal about the business before the numbers do.
