Unsolicited offer

An approach from a buyer you were not marketing to. Flattering, and usually the lowest price you will ever be offered.

An unsolicited offer arrives without a process behind it. There is exactly one buyer, no competing bid, and no reference point for whether the number is fair. That is precisely the condition under which a buyer can pay the least. It is not a reason to refuse. It is a reason to find out what the business is worth before responding, and to consider whether running a real process would produce a better outcome from that same buyer, who is now on record as interested.

Get a valuation before you answer. Responding to a single offer without knowing your number is negotiating blind against someone who does this professionally.
